Terms of Service

1. Acceptance of Terms

By accessing or using Indexify's document processing and AI RAG pipeline services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

2. Description of Service

Indexify provides a REST API platform for document processing and AI Retrieval-Augmented Generation (RAG) pipelines. Our Service includes:

  • Document parsing, chunking, embedding, and vector storage
  • Project and knowledge base creation and management
  • Similarity and hybrid search capabilities
  • Document processing job management
  • Webhook notifications for asynchronous events
  • RESTful API access with OAuth2 client credentials flow and JWT authentication

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create a developer account by providing accurate, complete, and current information, including a valid email address and secure password. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Security

You agree to:

  • Keep your password secure and confidential
  • Securely store your OAuth client credentials (client_id and client_secret) and never expose them publicly
  • Notify us immediately of any unauthorized access to your account or compromised credentials
  • Be responsible for all activities that occur under your account and projects
  • Not share your API credentials (JWT tokens, OAuth client credentials, or project access tokens) with third parties
  • Rotate OAuth client credentials regularly and immediately revoke compromised credentials

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or other conduct we deem harmful to the Service or other users.

4. Acceptable Use Policy

4.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree to use the Service in compliance with all applicable laws and regulations.

4.2 Prohibited Activities

You agree not to:

  • Upload or process documents containing illegal content or content that promotes or facilitates illegal activity
  • Upload or process documents that are harmful, threatening, abusive, harassing, defamatory, hateful, or that incite violence or discrimination
  • Upload or process documents that infringe, misappropriate, or otherwise violate any intellectual property, privacy, or other rights of any third party
  • Upload or process personal data that you are not legally permitted to disclose or process through the Service, or that would cause you or us to violate applicable data protection laws (including GDPR, CCPA, and similar laws)
  • Attempt to gain unauthorized access to the Service, other accounts, or any related systems or networks
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Use the Service to transmit viruses, malware, or other malicious code, or to conduct penetration testing or security testing without our prior written consent
  • Scrape, data mine, or use automated systems to access the Service beyond normal API usage permitted by your account and documentation

4.3 Enforcement

We reserve the right, at our reasonable discretion, to review activity on the Service and Customer Content to investigate suspected violations of these Terms or applicable law. We may remove or disable access to any content, suspend or limit access to the Service, or terminate accounts where we reasonably believe a violation has occurred. We may also cooperate with law enforcement or other authorities, including by preserving and disclosing information as required by applicable law.

5. Data and Content

5.1 Your Content

You retain all rights to the documents and data you upload to the Service ("Your Content"), including content within your projects and knowledge bases. By uploading Your Content, you grant us a limited license to process, store, and transmit Your Content solely for the purpose of providing the Service to you.

5.2 Content Responsibility

You are solely responsible for Your Content and the consequences of uploading and processing it through the Service. You represent and warrant that you own or have the necessary rights to upload Your Content and that it does not violate any laws or third-party rights.

5.3 Content Deletion

You may delete your projects, knowledge bases, and documents at any time through the API. We will remove Your Content from our active systems within a reasonable timeframe, though copies may persist in backups for a limited period.

6. API Usage and Rate Limits

Our Service enforces rate limits to ensure fair usage and system stability. Rate limits are subject to change based on your account tier and usage patterns. Excessive API usage may result in:

  • Temporary throttling or suspension of API access
  • HTTP 429 "Too Many Requests" responses
  • Account review or termination for abuse

7. Fees and Payment

Certain features of the Service may be subject to fees. If you choose to use paid features, you agree to pay all applicable fees as described at the time of purchase. All fees are non-refundable unless otherwise stated. We reserve the right to change our pricing at any time with reasonable notice to existing users.

8. Service Availability and Support

8.1 Service Level

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service is provided "as is" and "as available" without warranties of any kind.

8.2 Maintenance and Updates

We may perform scheduled or emergency maintenance that may temporarily limit or suspend access to the Service. We will attempt to provide advance notice of scheduled maintenance when possible.

8.3 Changes to the Service

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, including the availability of any feature, database, or content.

9. Intellectual Property Rights

9.1 Our Property

The Service, including its software, APIs, documentation, design, trademarks, and logos, is owned by Indexify and is protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

9.2 Feedback

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Service without compensation or attribution.

10. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information and data. By using the Service, you consent to our collection and use of data as described in the Privacy Policy. You are responsible for complying with all applicable data protection laws when using the Service to process personal data.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties regarding the accuracy, reliability, or completeness of the Service or content
  • Warranties that defects will be corrected

You use the Service at your own risk. We do not warrant that the document processing, parsing, embedding, or search results will be accurate or meet your requirements.
